PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE LOGIC-VAULT (THE “PLATFORM”) YOU AGREE TO BE BOUND BY THEM. IF YOU DO NOT ACCEPT ANY PART OF THESE TERMS, DO NOT USE THE PLATFORM.<\/p>\n\n\n\n
1.1 Platform Operator.<\/strong> The Platform is owned and operated by S&K PARTNERS GROUP LTD<\/strong>, a company incorporated in England & Wales (Company No. \u2014 [insert]) with its registered office at [insert address] (“S&K”, “we”, “us”). These Terms govern (i) your access to and use of the Platform; and (ii) the legal relationship between Buyers and S&K. Supplementary policies referenced herein form part of these Terms (e.g. Privacy Notice<\/strong>, Cookie Policy<\/strong>, AML Statement<\/strong>).<\/p>\n\n\n\n 4.1 You must be at least 18\u00a0years old<\/strong> and have legal capacity to contract. 5.1 Pay-In.<\/strong> Buyers may pay using supported methods (card, e-money, crypto). All amounts are displayed inclusive of VAT where applicable.<\/p>\n\n\n\n 6.1 All intellectual property rights in the Platform and S&K Content remain with S&K or its licensors. 7.1 Due to the instant and irrevocable nature of Digital Goods, all sales are final<\/strong> except where:<\/p>\n\n\n\n 8.1 S&K adopts a risk-based approach<\/strong> under the UK Money Laundering Regulations\u00a02017. You agree not<\/strong> to:<\/p>\n\n\n\n Processing of personal data is governed by our Privacy Notice<\/strong> (GDPR compliant). By using the Platform you consent to such processing and warrant that all data provided is accurate.<\/p>\n\n\n\n 11.1 We may suspend or terminate your account immediately for breach of these Terms, suspect fraud, or regulatory request. 12.1 The Platform and Services are provided “as is”<\/strong> without warranties of any kind. You agree to indemnify and hold harmless S&K, its directors, officers and employees from any claim arising out of your breach of these Terms or infringement of third-party rights.<\/p>\n\n\n\n These Terms are governed by the laws of England and Wales<\/strong>. The courts of London shall have exclusive jurisdiction, except that consumers resident in the EU may rely on mandatory consumer law protections and bring proceedings in their local courts.<\/p>\n\n\n\n We may amend these Terms by posting an updated version and notifying you via email or Platform notice at least 14 days before<\/strong> they take effect. Continued use after the effective date constitutes acceptance.<\/p>\n\n\n\n 16.1 Assignment.<\/strong> You may not assign your rights or obligations without our consent. 1.3 Regulatory Status.<\/strong> S&K is not a credit institution. Pay-In and Pay-Out services are provided via regulated payment service providers. S&K itself does not hold client funds.<\/p>\n\n\n\n2. DEFINITIONS<\/h2>\n\n\n\n
Term<\/strong><\/td> Meaning<\/strong><\/td><\/tr> “Buyer”<\/strong><\/td> A user purchasing Digital Goods on the Platform.<\/td><\/tr> “Digital Goods”<\/strong><\/td> AI prompts, prompt bundles, or other intangible digital content sold on the Platform.<\/td><\/tr> “Pay-In”<\/strong><\/td> The payment by a Buyer to purchase Digital Goods.<\/td><\/tr> “Content”<\/strong><\/td> Any text, images, data or other material uploaded or made available on the Platform.<\/td><\/tr> “Services”<\/strong><\/td> Technical, and payment facilitation services offered by S&K.<\/td><\/tr><\/tbody><\/table><\/figure>\n\n\n\n 3. SCOPE OF THESE TERMS<\/h2>\n\n\n\n
4. ACCOUNT REGISTRATION & ELIGIBILITY<\/h2>\n\n\n\n
4.2 You must provide true, accurate and complete information during onboarding and keep it updated.
4.3 We may conduct KYC\/AML checks<\/strong> and suspend accounts pending verification.
4.4 You are responsible for maintaining the confidentiality of your credentials and all activities under your account.<\/p>\n\n\n\n5. PAYMENTS<\/h2>\n\n\n\n
6. INTELLECTUAL PROPERTY & LICENCE<\/h2>\n\n\n\n
6.2 Buyers may not resell or publicly distribute Digital Goods without explicit consent.
6.3 We operate a notice-and-takedown<\/strong> procedure for alleged infringements (see IP Policy).<\/p>\n\n\n\n7. REFUND, CHARGEBACK & DISPUTE POLICY<\/h2>\n\n\n\n

7.2 Buyers must request support within 48\u00a0hours of purchase. Refunds are at S&K\u2019s discretion.
7.3 Chargebacks initiated by Buyers may lead to account suspension pending resolution.<\/li>\n<\/ul>\n\n\n\n8. COMPLIANCE & KYC\/AML<\/h2>\n\n\n\n
8.2 We may request proof of identity, proof of address.
8.3 Transactions involving sanctioned countries, persons or entities are strictly prohibited.<\/p>\n\n\n\n9. ACCEPTABLE USE & PROHIBITED CONDUCT<\/h2>\n\n\n\n

11.2 You may close your account at any time; outstanding obligations (fees, chargebacks) survive closure.<\/p>\n\n\n\n12. DISCLAIMERS & LIMITATION OF LIABILITY<\/h2>\n\n\n\n
12.2 To the maximum extent permitted by law, S&K disclaims all indirect, consequential or special losses.
12.3 S&K\u2019s aggregate liability arising out of or in connection with these Terms shall not exceed the greater of (i) \u00a3100; or (ii) the total commissions paid by you to S&K in the 12\u00a0months preceding the claim<\/strong>.<\/p>\n\n\n\n13. INDEMNITY<\/h2>\n\n\n\n

16.2 Severability.<\/strong> If any clause is held invalid, the remainder remains in force.
